Terms of Service

These Terms of Service ("Terms") are a binding agreement between you (and the organisation you represent, "you" or "Customer") and OtherWayAround LLC ("OWA AI", "we", "us", or "our"), governing your access to and use of the OWA AI platform, websites, and related services (the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.

1. The Service

OWA AI provides an AI-powered marketing-intelligence platform for mobile apps, including analytics, benchmarks, recommendations, and AI-generated insights derived from data you connect and from publicly available market data. We may add, modify, or discontinue features over time. We will give reasonable notice of material changes that adversely affect your use.

2. Eligibility and accounts

  • The Service is intended for business use by users aged 16 or older.
  • You must provide accurate account information and keep it up to date.
  • You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at operations@otherwayaround.co of any unauthorised use.
  • You are responsible for the acts and omissions of any users you invite or permit to access your account.

3. Subscriptions, billing, and payment

  • The Service is offered on a paid subscription basis. Pricing and plan features are as presented at the time of purchase or in your order.
  • Payments are processed by Stripe. By subscribing, you authorise us (via Stripe) to charge your payment method for the applicable fees.
  • Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Fees are stated exclusive of taxes; you are responsible for applicable taxes.
  • Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods.
  • We may change pricing on renewal with prior notice. Continued use after a price change takes effect constitutes acceptance.

4. Customer Data and your responsibilities

  • "Customer Data" means data you upload to, or connect to, the Service, including data from Apple App Store Connect, Apple Search Ads, and Mobile Measurement Partners.
  • You retain all ownership of your Customer Data. You grant OWA AI a worldwide, non-exclusive licence to host, process, and use Customer Data solely to provide and improve the Service for you and as described in our Privacy Policy.
  • You represent and warrant that you have all rights, consents, and authority necessary to connect and provide the Customer Data, and that doing so does not violate any law or third-party agreement (including the terms of Apple and your MMPs).
  • You are responsible for the accuracy, quality, and legality of your Customer Data and for the actions you take based on the Service's outputs.

5. AI-generated insights

The Service produces analytics, recommendations, forecasts, and other AI-generated content ("Outputs"). Outputs are provided for informational purposes only, may contain errors or inaccuracies, and are not financial, legal, investment, or professional advice. You are solely responsible for evaluating Outputs and for any decisions or actions you take based on them. OWA AI does not warrant any particular result, performance, or return.

6. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or third-party rights
  • Reverse engineer, decompile, scrape, or attempt to derive the source code or models of the Service, except as permitted by law
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted
  • Upload malware or interfere with the integrity, security, or performance of the Service
  • Attempt to gain unauthorised access to the Service or related systems
  • Use the Service to build a competing product or to benchmark for a competitor

We may suspend access to investigate suspected violations or to protect the Service or other customers.

7. Intellectual property

  • The Service, including all software, models, designs, text, and branding, is owned by OWA AI and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription.
  • As between you and OWA AI, you own the Outputs generated specifically for you, subject to our underlying rights in the Service and to applicable law. You may use Outputs for your internal business purposes.
  • You grant us the right to use aggregated and de-identified data (which does not identify you or any individual) to operate, analyse, and improve the Service.

8. Third-party services

The Service integrates with third-party platforms (including Apple, Mobile Measurement Partners, and Stripe). Your use of those platforms is governed by their own terms, and we are not responsible for their availability, accuracy, or acts. If a third-party platform changes or restricts access, related features of the Service may be affected.

9. Confidentiality

Each party may receive non-public information of the other ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms and will protect it with reasonable care. This section does not apply to information that is public, independently developed, or rightfully received from a third party.

10. Term and termination

  • These Terms apply for as long as you use the Service.
  • You may stop using the Service and cancel your subscription at any time as described in section 3.
  • We may suspend or terminate your access for material breach (including non-payment) or as required by law. We may terminate for convenience with reasonable notice.
  • On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period and then delete it as described in our Privacy Policy.
  • Sections that by their nature should survive termination (including 4, 5, 7, 9, 11, 12, 13, and 15) will survive.

11. Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWA AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

13. Indemnification

You will defend, indemnify, and hold harmless OWA AI from and against any claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service, or your breach of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Material changes will be communicated by email or in-app notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
